01Agreement to these Terms
These Terms of Service (the “Terms”) form a legally binding agreement between you and Subash Matheswaran, a sole proprietor with a registered business address at 32, Ayyampalayam Paaraiyure, Komarapalayam, Namakkal District, Tamil Nadu 638183, India (“QR-10”, “we”, “us” or “our”), governing your access to and use of the website at qr-10.com, the QR-10 web application, short links, redirect services, APIs and related services (together, the “Service”).
By creating an account, clicking “I agree”, purchasing a subscription or otherwise using the Service, you confirm that you have read, understood and accept these Terms, our Privacy Policy, Cookie Policy, Refund & Cancellation Policy and Acceptable Use Policy, which are incorporated by reference. If you do not agree, you must not use the Service.
If you use the Service on behalf of a company or other organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” refers to that organisation.
02Eligibility
You must be at least 18 years old (or the age of majority where you live, if higher) and capable of entering into a binding contract to use the Service. The Service is not directed to children, and you may not use it if you have previously been suspended or removed from the Service.
You may not use the Service if you are located in, or are a resident of, a country or region subject to comprehensive sanctions, or if you are listed on any government list of prohibited or restricted parties.
03The Service
QR-10 lets you create static and dynamic QR codes, manage the destinations those codes redirect to, customise their appearance, organise them into folders and view analytics about how they are scanned. Dynamic QR codes work by routing each scan through a QR-10 short link, which then redirects the scanner to the destination you have configured.
We continually improve the Service and may add, change or remove features from time to time. If we make a change that materially reduces the core functionality of a paid plan during your current billing period, we will notify you in advance where reasonably possible.
04Your account
- You must provide accurate, current and complete information when you register and keep it up to date.
- You are responsible for keeping your password and login credentials confidential and for all activity that takes place under your account.
- You must notify us immediately at contact@qr-10.com if you suspect any unauthorised access to or use of your account.
- Accounts are personal to the registered user or organisation. You may not sell, transfer or share your account with third parties.
- We may refuse registration, reclaim usernames or require identity verification where reasonably necessary to protect the Service or comply with law.
05Plans, fees and payment
Free plan
The Free plan is offered at no charge. We may apply reasonable fair-use limits to protect the stability of the Service and may change the features included in the Free plan with notice.
Pro plan
The Pro plan is a paid subscription, currently priced at US$5 per month or US$50 per year, unless a different price is shown to you at checkout. Prices exclude applicable taxes unless stated otherwise.
Payment processing
Payments are processed securely by Dodo Payments, which acts as our merchant of record and authorised reseller: it sells the subscription to you on our behalf, charges your payment method, calculates and collects any applicable sales tax, VAT or GST, and issues your invoice. The charge may appear on your bank or card statement under its name. QR-10 does not store your full card number or card security code. By providing a payment method you authorise us and our payment processor to charge all fees due for your subscription, and you agree to the payment processor’s own terms. You represent that you are authorised to use the payment method you provide.
Automatic renewal
Paid subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current price, and your payment method will be charged unless you cancel before the renewal date. Where required by law or by applicable card-network or banking rules (including e-mandate requirements of the Reserve Bank of India), we or our payment processor will send pre-debit notifications and obtain any additional authentication required.
Taxes
You are responsible for all taxes, duties and levies associated with your purchase, including GST, VAT or sales tax, other than taxes on our net income. Where we are required to collect taxes, they will be shown at checkout and on your invoice.
Price changes
We may change subscription prices. Any change will apply from your next billing period after we have given you at least 30 days’ notice by email or in-app. If you do not agree to the new price, you may cancel before it takes effect.
Failed payments
If a payment fails, we may retry the charge and ask you to update your payment method. If payment is still not received within a reasonable period, we may downgrade your account to the Free plan. Your QR codes will continue to redirect after a downgrade, but Pro-only features will no longer be available.
Chargebacks
If you believe a charge is incorrect, please contact us first at contact@qr-10.com so we can resolve it. Initiating an unjustified chargeback may result in suspension of your account.
06Cancellation and refunds
You can cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep access to Pro features until then and you will not be charged again.
Refund eligibility is described in our Refund & Cancellation Policy. Nothing in these Terms limits any non-waivable rights you have as a consumer under the laws of your country of residence.
07Acceptable use
You are solely responsible for the destinations your QR codes point to and for all content you create, upload or link to through the Service (“Your Content”). You must comply with our Acceptable Use Policy. In particular, you must not use the Service to:
- redirect people to phishing pages, malware, scams, fraudulent offers or deceptive content;
- distribute illegal content or content that infringes intellectual property, privacy or other rights;
- send spam or disguise the true destination of a link to mislead people;
- probe, scan, overload or attempt to bypass the security or rate limits of the Service; or
- resell, sublicense or provide the Service to third parties as a white-label product without our written permission.
We may, without prior notice, disable a QR code or short link, remove content, or suspend an account where we reasonably believe it breaches these Terms or the Acceptable Use Policy, poses a risk to users or the public, or is required by law.
08Your content and data
You retain all rights in Your Content, including your logos, brand assets, destination URLs and the QR code images you generate. You grant QR-10 a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce and display Your Content solely as needed to operate, secure and improve the Service for you.
You represent that you own or have all necessary rights to Your Content and that it does not violate any law or third-party right.
Scan analytics
When people scan your QR codes, we collect technical information about those scans (such as time, approximate location derived from IP address, device type, operating system and browser) to provide analytics to you. As between you and us, you determine the purposes for which you deploy QR codes and use these analytics, and you are responsible for providing any notices to, and obtaining any consents from, the people who scan your codes that are required by law. We process scan data as described in our Privacy Policy.
09Our intellectual property
The Service — including its software, design, text, graphics, logos and the “QR-10” name and brand — is owned by QR-10 or its licensors and is protected by copyright, trademark and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your internal business or personal purposes.
You must not copy, modify, reverse engineer, decompile or create derivative works of the Service, except to the extent such restrictions are prohibited by law. “QR Code” is a registered trademark of DENSO WAVE INCORPORATED.
If you send us suggestions or feedback, you allow us to use them without restriction or obligation to you.
10Third-party services
The Service may integrate with or link to third-party websites and services, including payment processors and the destinations your codes point to. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and policies.
11Availability and support
We aim to keep the Service available and redirects fast and reliable, but we do not guarantee that the Service will be uninterrupted, error-free or available at all times. Planned maintenance, upgrades and events beyond our reasonable control may cause interruptions. Support is provided by email; Pro subscribers receive priority handling. No specific service-level commitment applies unless agreed in a separate written agreement.
12Suspension and termination
You may stop using the Service and delete your account at any time from your profile settings. Deleting your account permanently removes your QR codes, short links and analytics, and your dynamic QR codes will stop redirecting.
We may suspend or terminate your access to the Service, with or without notice, if you materially or repeatedly breach these Terms, if required by law, or if your use creates a security or legal risk for us or others. Where reasonably possible, we will give you notice and an opportunity to fix the issue first. If we terminate a paid subscription without cause, we will refund any prepaid fees for the unused portion of your billing period.
Sections that by their nature should survive termination — including fees owed, intellectual property, disclaimers, limitation of liability, indemnity and governing law — will survive.
13Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that QR codes will be readable by every device or in every printing condition; you should test codes before printing or distributing them. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14Limitation of liability
To the maximum extent permitted by law:
- QR-10 will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, or the costs of reprinting materials, arising out of or relating to the Service, even if advised of the possibility of such damages.
- QR-10’s total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to QR-10 in the twelve (12) months before the event giving rise to the claim, or (b) US$50.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, gross negligence or wilful misconduct, or for death or personal injury caused by negligence.
15Indemnity
You agree to defend, indemnify and hold harmless QR-10 and its officers, employees and agents from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of Your Content, the destinations of your QR codes, your use of the Service in breach of these Terms or the Acceptable Use Policy, or your violation of any law or third-party right.
16Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to the next paragraph, the courts located in Namakkal, Tamil Nadu, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
Before starting any formal proceedings, you agree to contact us at contact@qr-10.com and try to resolve the dispute informally for at least 30 days. If you are a consumer, you may also benefit from mandatory provisions of, and bring proceedings in, the courts of your country of residence.
17Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before they take effect, unless the change is required sooner by law or to address a security risk. The “Last updated” date at the top shows when these Terms were last revised. Continuing to use the Service after changes take effect means you accept the updated Terms.
18General
- Entire agreement. These Terms and the policies referenced in them are the entire agreement between you and QR-10 regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets, with notice to you.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may send notices to the email address on your account. You may send notices to contact@qr-10.com.
